Terms of Service
Draft structure for review. Commercial terms, fees, settlement periods, liability caps and governing law must be set and approved by legal before publication.
1. Agreement
These terms govern access to and use of the AVD Gate payment platform, the merchant dashboard and related APIs. By opening an account or submitting an integration request, the merchant accepts these terms.
2. Eligibility
Services are available to registered businesses that pass onboarding checks, operate a lawful business model and can provide the documentation required by applicable regulation.
3. Services
AVD Gate provides technical payment processing, routing and reporting functionality. Availability of specific payment methods, currencies and markets depends on the merchant’s profile and the rules of the relevant payment networks.
4. Merchant obligations
The merchant is responsible for the accuracy of submitted data, the lawfulness of goods and services sold, the security of its API credentials, clear pricing and refund information for customers, and timely responses to disputes.
5. Fees and settlement
Fees, settlement currency, settlement frequency and any reserve requirements are set out in the merchant’s commercial agreement. Amounts are to be confirmed.
6. Prohibited use
Use of the services for activities listed in the Acceptable Use Policy, for circumventing payment network rules or for concealing the true nature of a transaction is not permitted.
7. Liability
Liability is limited to the extent permitted by applicable law. AVD Gate is not liable for losses caused by the merchant’s breach of these terms, by third-party network outages or by force majeure events.
8. Term and termination
Either party may terminate the agreement in accordance with the notice periods set out in the commercial agreement. AVD Gate may suspend services immediately where required by law, network rules or risk considerations.
9. Changes and governing law
Updated terms take effect on publication or on the date stated in the notice. Governing law and jurisdiction to be confirmed.
